Our partner is a leading Independent Power Producer (IPP) specializing in the development, ownership, and operation of utility-scale energy storage systems across the United States. The business currently focuses its efforts on NYISO, ISO-NE, and PJM, developing BESS projects in dense urban areas. Their mission is to drive the transition to a sustainable, low-carbon future while meeting the growing demand for renewable energy and storage solutions. They are creative, curious, collaborative, and driven, with approx. 20 employees today and growing fast.
Position Overview:
We are seeking an experienced General Counsel to provide strategic legal leadership and oversight for our partner’s expanding portfolio of energy storage projects. This role involves managing all legal aspects of project development, financing, regulatory compliance, and contract negotiations. The General Counsel will work closely with the executive team, contributing to the company’s long-term growth and ensuring legal compliance across multiple jurisdictions.
Key Responsibilities:

Legal Leadership: Manage all legal functions, including structuring and negotiation of Power Purchase Agreements (PPAs), EPC contracts, and other key agreements related to energy storage projects.

Regulatory Compliance: Ensure adherence to federal and state energy regulations, including FERC compliance and participation rules for ISO-NE, NYISO, and PJM. Oversee environmental compliance related to energy storage projects.

Project Finance: Lead legal oversight in structuring project finance agreements, working closely with lenders, investors, and project partners.

Corporate Governance: Oversee corporate governance, ensuring the company complies with legal obligations and best practices in corporate structure and governance.

Contract Negotiation: Manage the drafting and negotiation of complex commercial agreements, including joint ventures, vendor contracts, and development agreements. Engage and manage external counsel where needed.

Dispute Resolution: Lead resolution efforts for legal disputes, including litigation, arbitration, and mediation related to project construction and operations.

Risk Management: Implement legal risk mitigation strategies for projects across development, construction, and operations. Collaborate with cross-functional teams to ensure business objectives are legally sound.
Key Qualifications:
- JD from an accredited law school with active bar membership in at least one U.S. jurisdiction.
- Minimum 10+ years of legal experience, with a strong focus on the energy sector, particularly in renewables and energy storage is a plus.
- Extensive experience in regulatory compliance, including ISO/RTO market rules (ISO-NE, NYISO, PJM).
- Proven track record in contract negotiation, including PPAs, EPC agreements, and complex financing structures.
- Expertise in project finance for large-scale energy projects, including negotiations with external stakeholders.
- Strong leadership skills with experience managing legal teams and external counsel.
- Excellent communication skills, with the ability to translate complex legal matters into business terms.
