Job Description

A leader in solar energy and energy storage development and operations is seeking a qualified Attorney with a strong focus on Engineering, Procurement, and Construction (EPC) projects to join the in-house legal team. This opportunity is crucial for managing all legal matter pertaining to EPC agreements, as well as support and work cross-functionally with the procurement, supply chain, and logistics departments. The ideal candidate will have extensive experience drafting and negotiating complex commercial agreements related to solar energy and energy storage project development.

Key Responsibilities:

  • Draft, review, and negotiate EPC contracts and related agreements for solar energy and energy storage projects. Ensure contracts are structured to protect the company’s interests and mitigate risks effectively.
  • Draft, review, and negotiate Operations and Maintenance (O&M) agreements to ensure long-term operational efficiency and compliance with performance standards.
  • Create and negotiate Master Service Agreements (MSAs) to establish the terms for ongoing services, ensuring alignment with project requirements and company policies.
  • Draft, review, and negotiate supply agreements for the procurement of materials and equipment required for construction and operation. Ensure terms support the timely and cost-effective delivery of critical components.
  • Manage the drafting and negotiation of subcontract agreements, ensuring that subcontractors meet project specifications and compliance requirements.
  • Collaborate with the procurement team to address legal aspects of sourcing and purchasing activities. Provide guidance on contract terms and conditions related to supplier agreements and purchase orders.
  • Support the supply chain and logistics teams in the legal aspects of sourcing, transportation, and delivery of construction materials and equipment. Ensure compliance with contractual obligations and manage any related disputes.
  • Advise on compliance with federal, state, and local regulations relevant to EPC projects, including environmental, safety, and industry-specific requirements.
  • Manage and resolve disputes related to EPC contracts, O&M agreements, supply agreements, and subcontractor issues. Represent the company in negotiations, mediations, and litigations as necessary.
  • Identify and assess legal risks associated with EPC projects and procurement activities. Develop strategies to mitigate risks and ensure contractual compliance.
  • Work closely with internal teams, including project managers, engineers, procurement, and logistics professionals, to provide legal support and guidance throughout the project lifecycle.
  • Develop and implement legal strategies that align with the company’s goals and enhance project success. Provide proactive legal advice to anticipate and address potential issues.
  • Monitor and interpret changes in regulations and industry standards, as well as ensure that the company’s practices remain compliant with evolving legal requirements.

Requirements & Qualifications:

  • Juris Doctor (JD) from an accredited law school.
  • Current admission to practice law in a U.S. state.
  • 5+ years of experience in a legal role focused on EPC contracts, with significant experience in drafting and negotiating O&M agreements, MSAs, supply agreements, and subcontract agreements. Experience in the renewable energy sector is preferred.
  • Expertise in drafting, reviewing, and negotiating complex EPC contracts and related documents.
  • Strategic thinker with a proactive approach to legal problem-solving.
  • Strong understanding of legal and regulatory requirements related to solar energy and energy storage projects.
  • Proven experience supporting procurement, supply chain, and logistics activities.
  • Excellent analytical, negotiation, and communication skills.
  • Ability to work collaboratively with internal teams and external stakeholders.
