HiTHIUM’s International Legal Team is seeking to hire a Senior Legal Counsel / Legal Manager in Dallas, Texas, primarily responsible for handling legal matters related to HiTHIUM’s Texas manufacturing plant, while also supporting other legal and compliance work in the U.S. as needed. The candidate should have at least 5 years of legal experience, with hands-on experience in reviewing sales and procurement contracts, managing construction contracts, and ensuring compliance in labor & employment matters.

Job Overview:

Key Responsibilities:

  • Commercial Contracts: Review, draft, and negotiate various types of contracts, including sales and procurement agreements, construction contracts, and supplier agreements
  • Construction Law: Provide legal advice on construction-related issues, including contract disputes, warranties, and project risk management
  • Labor Law: Advise on labor and employment compliance, including adherence to federal and state regulations, handling employee disputes, disciplinary actions, and assist with HR policy drafting
  • Compliance: Ensure the company complies with all applicable laws and regulations, particularly those related to battery manufacturing and the renewable energy industry.
  • Risk Management: Identify potential legal risks and work with leadership to take cost-effective measures to mitigate or resolve these risks
  • Corporate Governance: Support general corporate governance work and assist in the development and implementation of internal policies and procedures
  • Dispute Resolution: Manage pre-litigation risks, and if litigation arises, develop litigation strategies and coordinate with external counsel to resolve disputes
  • Cross-Functional Collaboration: Collaborate with various departments, including operations, sales, procurement, and HR, to provide legal advice ensuring that business objectives are achieved within the legal boundaries

Qualifications:

  • Juris Doctor (JD) or Master of Laws (LLM) degree
  • Texas Bar License preferred
  • At least 5 years of relevant legal experience, with experience in manufacturing or the renewable energy sector preferred
  • Extensive experience in reviewing and negotiating sales and procurement contracts; legal experience in the construction industry (plant construction) is a plus
  • Deep understanding of labor laws, particularly those related to the manufacturing industry
