Location & Travel:

The position is based in our Walnut Creek, CA office, but remote candidates residing in the Western United States will be considered. Remote employees are required to periodically visit our Walnut Creek, CA office, approximately 1 week of each month (dates flexible).

Position Summary:

Canadian Solar’s Module and Systems Solutions (MSS) business in North America is seeking an experienced transactional lawyer to join its legal team. Experience drafting and negotiating customer-facing contracts in the solar, wind or energy storage industries is preferred. The ideal candidate will have big firm and in-house transactional experience in construction, procurement, finance, M&A or a related area. We are looking for a confident self-starter with strong interpersonal and organizational skills and a demonstrated ability to draft and negotiate sales contracts. This is a full-time position with the opportunity to work in an office setting or remotely.

Responsibilities:

  • Act as a lead transactional lawyer for the negotiation of customer-facing solar and energy storage equipment sales and distribution contracts as part of a deal team.
  • Provide legal advice on commercial and contract law matters primarily in the United States, but also Canada.
  • Draft module sales agreements, battery energy storage supply agreements, services agreements, product warranties, consents, estoppels, parent guarantees, distribution contracts and various other contracts.
  • Assist with all aspects of sales contract management and execution, including drafting legal notices, change orders and amendments, interpreting contract language and providing strategic and business-oriented advice.
  • As part of the Legal team, assist in the development of legal policies, processes, resources and contract templates for the North America business.
  • Coordinate and supervise outside counsel with a view to balancing legal costs with business goals.
  • Ensure that all activities are performed with the highest ethical standards and that transactions are in compliance with Canadian Solar policies, and procedures.
  • We may consider a managerial role in the Transactions Team for highly qualified candidates with experience managing transactional lawyers.

Requirements:

  • 7+ years of relevant transactional experience, including a minimum of 3 years’ transactional experience in a large law firm; in-house experience in a high volume transactions team is preferred.
  • Solid academic credentials are required, including a JD from a top-50 law school.
  • Must be licensed to practice law in your U.S. State of physical residence.
  • Solar, wind and/or battery storage project experience is preferred, but solid transactional lawyers without such experience will be considered.
  • Strong drafting skills and experience leading negotiation of complex commercial contracts as part of a deal team.
  • Excellent communication and interpersonal skills and demonstrated ability to work cooperatively in a fast-paced environment with salespeople and other highly motivated individuals.
  • Willingness and ability to travel regularly within North America for negotiations or for meetings. (Travel is approximately one week per month but may vary throughout the year in accordance with business needs).

The pay range for this position is $200,000 – $250,000. This range represents annual base salary only, without regard to location, and does not include quarterly bonuses or incentives or benefits that may apply. The pay range for this role is subject to change.
