Salary Range: $100,000 – $115,000 plus bonus and incentive stock options

Reports to: General Counsel

Location: New York City (Hybrid)

Job Summary

Reporting to the General Counsel, the Paralegal will play a crucial role in contract management, corporate governance, structured finance facility compliance, and supporting real estate transactions related to the development and operation of distributed battery energy storage projects. The Paralegal will work closely with our legal team, development team, and external counsel negotiating and conducting due diligence for various corporate, real estate and transactional matters. The ideal candidate will be familiar with the intricacies of corporate, finance and commercial real estate transactions, and possess excellent organizational and communication skills.

Roles and responsibilities

  • Draft, review, and revise a variety of legal documents, including contracts, agreements, and corporate policies under supervision of the General Counsel.
  • Assist in maintaining corporate records, preparing board and committee materials, and ensuring compliance with regulatory requirements.
  • Assist in forming and managing entities and our entity management system.
  • Coordinate due diligence for mergers, acquisitions, financings and other transactions with the General Counsel and Associate General Counsel.
  • Assist in conducting due diligence for real estate transactions, including title searches, surveys zoning, land-use and environmental investigations.
  • Review and analyze title reports, title commitments and policies, surveys, environmental reports, and other relevant documents; collaborate with title companies to cure title issues.
  • Assist in drafting and preparing real estate documents, including purchase contracts, leases, easements, and other agreements. Record documents in real property records.
  • Review, draft, and manage NDAs
  • Liaise with internal teams, external counsel, and third-party stakeholders to facilitate real estate and other transactions.
  • Stay abreast of local, state, and federal regulations impacting real estate transactions.
  • Assist in ensuring compliance with all legal requirements related to property development.
  • Serve as gate-keeper to internal legal function and assist with coordination of review of agreements by General Counsel and Associate General Counsel
  • Maintain organized and up-to-date records of all transactions and related documents.
  • Assist in the preparation of periodic reports for internal and external stakeholders.

Required education and experience

  • Bachelor’s degree and paralegal certification.
  • Notary Public in New York State.
  • Proven experience as a real estate and corporate paralegal, preferably in renewable energy or commercial real estate development.
  • Familiarity with real estate transaction processes, including due diligence and title clearance.
  • Experience with contract management and maintenance of contract lifecycle management (CLM) platform(s)
  • Proficiency in legal research tools, document management systems.
  • Strong organizational and multitasking skills.
  • Excellent written and verbal communication skills.
  • Proficiency in assisting with legal research and document drafting.
  • Ability to work collaboratively in a dynamic and fast-paced environment.
